These Terms and Conditions apply to the use of the UDFTrade website and to all orders placed through our website.

Please read these Terms and Conditions carefully before placing an order. By using our website or placing an order, you agree to be bound by these Terms and Conditions.

References in these Terms and Conditions to “UDFTrade”, “we”, “us” or “our” mean UDFTRADE LTD.

2. Application of These Terms

These Terms and Conditions apply to customers purchasing goods for personal use and to businesses purchasing goods for commercial or professional use.

Certain statutory consumer rights apply only where you are acting as a consumer and not wholly or mainly for purposes relating to your trade, business, craft or profession.

If you are purchasing on behalf of a business, you confirm that you have authority to bind that business to these Terms and Conditions.

3. Eligibility to Place an Order

You must be at least 18 years old and legally capable of entering into a binding contract to place an order through our website.

When placing an order, you confirm that all information provided by you is complete, current and accurate.

You must not place an order using another person’s name, payment details or personal information without their permission.

4. Products

We sell new and original tools, equipment and related products supplied by manufacturers, authorised suppliers and distributors.

We take reasonable care to ensure that product names, descriptions, specifications, images and prices displayed on our website are accurate.

Product images are provided for general illustration. Colours, packaging, labels, accessories and minor product details may differ slightly from the images displayed on your screen.

Manufacturers may change product packaging, appearance, specifications or included accessories without prior notice. Where a change materially affects the nature or intended use of the product, we will take reasonable steps to inform you before dispatch.

You are responsible for checking that a product is suitable for your intended purpose, application, equipment and working environment before ordering or using it.

5. Product Availability

All products are subject to availability. Adding a product to your basket or completing checkout does not reserve the product.

Stock information displayed on our website is updated regularly, but occasionally a product may become unavailable after an order has been placed.

If we are unable to supply a product, we may:

  • contact you with an estimated availability date;
  • offer a suitable alternative product, which you are not required to accept;
  • remove the unavailable product from your order; or
  • cancel the affected part of the order and issue a refund.

We will not substitute a product without your agreement.

6. Placing an Order

When you place an order through our website, you are making an offer to purchase the products included in your order.

After placing an order, you may receive an automatic email confirming that we have received it. This acknowledgement does not mean that your order has been accepted.

A contract between you and UDFTRADE LTD is formed only when we accept your order and send you confirmation that the goods have been dispatched or are ready for collection.

We reserve the right to refuse or cancel an order before dispatch where reasonably necessary, including where:

  • the product is unavailable;
  • payment cannot be authorised;
  • the price or product information contains an obvious error;
  • we suspect fraud, misuse or unauthorised activity;
  • delivery cannot reasonably be made to the address provided;
  • the order breaches these Terms and Conditions or applicable law.

If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled products.

7. Prices and VAT

Product prices may be displayed both excluding VAT and including VAT.

The total amount payable, including applicable VAT, delivery charges and any other charges, will be shown before you confirm and pay for your order.

All prices are displayed in pounds sterling unless otherwise stated.

We may change prices at any time, but changes will not normally affect an order that we have already accepted.

If a product is displayed at an obviously incorrect price because of a technical, administrative or data-entry error, we are not required to supply the product at that incorrect price.

If we identify a pricing error before dispatch, we may contact you and give you the opportunity to purchase the product at the correct price or cancel the affected product and provide a full refund.

8. Payment

Payments are processed securely through Stripe.

Available payment methods may include:

  • credit and debit cards;
  • Apple Pay;
  • Google Pay;
  • other payment methods made available through Stripe.

Payment must be authorised before an order is dispatched or made available for collection.

You confirm that you are authorised to use the payment method provided for the order.

We do not directly receive or store your complete payment card number or card security code.

9. Delivery Area

We currently deliver only to addresses within the United Kingdom.

Available delivery methods may depend on the delivery address, product size, product weight and stock location.

We reserve the right to decline delivery to an address where delivery is unavailable, restricted, unsafe or not commercially reasonable.

10. Delivery Methods

Orders may be delivered using:

  • Royal Mail;
  • a third-party parcel or courier service;
  • UDFTrade’s own delivery service;
  • another suitable delivery provider selected by us.

The delivery method available for your order will be displayed during checkout or agreed with you separately.

Some large, heavy, high-value or restricted products may require a specific delivery service.

11. Delivery Times

We aim to deliver stocked products within approximately 1 to 5 working days after the order has been accepted.

Delivery times are estimates and are not guaranteed unless we have expressly agreed a guaranteed delivery service in writing.

Delivery may be delayed due to circumstances outside our reasonable control, including courier delays, severe weather, traffic disruption, stock delays, supplier delays, industrial action or incorrect delivery information.

If there is a significant delay, we will take reasonable steps to inform you and provide an updated estimate.

Nothing in this section limits any delivery rights available to consumers under applicable law.

12. Delivery Information and Failed Delivery

You are responsible for providing a complete and accurate delivery address, telephone number and any necessary delivery instructions.

We are not responsible for delays or failed delivery caused by incorrect or incomplete information supplied by you.

Depending on the delivery service, the courier may:

  • leave the parcel in a safe place authorised by you;
  • leave the parcel with a neighbour;
  • attempt redelivery;
  • take the parcel to a local collection point;
  • return the parcel to us.

If an order is returned to us because delivery was refused, not collected, or could not be completed due to information supplied by you, we may require payment of reasonable redelivery costs before sending it again.

13. Risk and Ownership

For consumer orders, responsibility for the goods normally passes to you when the goods are delivered into your physical possession or to a person identified by you to receive them.

Where you independently arrange for a carrier that was not offered by us, responsibility may pass when the goods are delivered to that carrier, as permitted by law.

Ownership of the goods passes to you only after we have received full payment of all amounts due for those goods.

14. Click & Collect

Where Click & Collect is available, you may select this option during checkout.

You must wait until we confirm that your order is ready before travelling to collect it.

When collecting an order, we may ask you to provide:

  • your order confirmation or order number;
  • proof of identity;
  • the payment card used for the order, where appropriate;
  • written authorisation where another person is collecting on your behalf.

We may refuse to release an order if we cannot reasonably verify the identity or authority of the person collecting it.

Orders must be collected within the period stated in the collection notification. If an order is not collected, we may contact you, return the products to stock or cancel the order, subject to your statutory rights.

15. Special Order Products

Some products that are not normally held in stock may be sourced or ordered specifically at your request. We refer to these as Special Order Products.

Before placing a Special Order, we may confirm:

  • the exact product and specification;
  • the price;
  • the estimated delivery time;
  • any deposit or advance payment required;
  • any applicable cancellation or return conditions.

Once a Special Order has been confirmed and we have committed costs to a supplier, cancellation may not always be possible.

However, describing a standard product as a Special Order does not automatically remove any cancellation or return rights that a consumer has under applicable law.

Where goods are made to your specifications, personalised, altered or clearly customised for you, the statutory right to cancel because you have changed your mind may not apply.

Special Order Products remain covered by your legal rights if they are faulty, damaged, misdescribed or do not conform to the contract.

Business customers may be required to pay reasonable costs or losses resulting from cancellation of a confirmed Special Order, including non-refundable supplier charges, where permitted by law and agreed before the order is placed.

16. Cancelling an Order

You may request cancellation by contacting us at info@udftrade.co.uk.

If the order has not been dispatched or committed as a Special Order, we will normally try to cancel it before fulfilment.

Consumers purchasing online generally have the right to cancel most orders without giving a reason within 14 days after receiving the goods, subject to the exceptions and conditions provided by law.

After notifying us of cancellation, you must return the goods within the applicable return period.

Cancellation rights may not apply to certain products, including goods made to the consumer’s specifications or clearly personalised.

These cancellation rights do not normally apply in the same way to customers purchasing wholly for business purposes.

17. Returns and Refunds

Our Returns & Refunds Policy forms part of these Terms and Conditions.

Nothing in these Terms and Conditions or our Returns & Refunds Policy excludes or limits the statutory rights of consumers.

18. Faulty, Damaged or Incorrect Goods

Please inspect your order as soon as reasonably possible after delivery or collection.

If a product arrives damaged, is faulty, is not as described or is not the product ordered, please contact us promptly and provide:

  • your order number;
  • a description of the problem;
  • photographs or video where reasonably requested;
  • details of any visible damage to the packaging.

Consumers have statutory rights where goods are faulty, not of satisfactory quality, not fit for a particular purpose made known to us, or not as described.

Depending on the circumstances and applicable law, the available remedy may include repair, replacement, price reduction or refund.

We may ask you to stop using a product where continued use may cause additional damage or create a safety risk.

19. Manufacturer Warranties

Some products may include a manufacturer’s warranty in addition to your statutory rights.

The availability, duration, scope and conditions of a manufacturer’s warranty vary according to the product and manufacturer.

A manufacturer may require you to:

  • register the product within a specified period;
  • retain proof of purchase;
  • follow the operating and maintenance instructions;
  • submit a claim directly to the manufacturer or an authorised service centre.

You are responsible for reviewing and complying with the manufacturer’s warranty conditions.

A manufacturer’s warranty is separate from, and does not replace or reduce, any statutory rights you may have against us.

20. Safe and Proper Use of Products

Products must be used only for their intended purpose and in accordance with all manufacturer instructions, safety warnings and applicable regulations.

You are responsible for ensuring that:

  • the person using the product is suitably trained and competent;
  • appropriate personal protective equipment is used;
  • the product is suitable for the intended task;
  • the product is correctly installed, maintained and inspected;
  • all workplace and health and safety requirements are followed.

We are not responsible for damage arising from misuse, incorrect installation, unauthorised modification, failure to maintain a product, use contrary to instructions or normal wear and tear.

Nothing in this section excludes liability that cannot legally be excluded.

21. Customer Accounts

You may be able to create a customer account to manage orders, addresses and account information.

You are responsible for:

  • keeping your password and login details confidential;
  • providing accurate account information;
  • notifying us if you suspect unauthorised access;
  • all activity carried out through your account unless caused by our failure to use reasonable care.

We may suspend or close an account where we reasonably believe that it is being used fraudulently, unlawfully, abusively or in breach of these Terms and Conditions.

22. Product Reviews

Customers may be able to submit ratings, reviews, photographs or other content relating to products purchased from us.

Reviews must be based on a genuine experience of the relevant product or transaction.

Reviews may be positive, neutral or negative. We will not reject or remove a genuine review solely because it is critical of a product or of the service received.

Reviews and other submitted content must not:

  • contain false, fabricated or misleading claims;
  • be submitted by a person who has not had a genuine experience of the product or transaction;
  • contain abusive, threatening, intimidating, obscene or sexually explicit language;
  • contain personal attacks, insults, harassment or bullying;
  • promote hatred, discrimination or hostility based on race, nationality, ethnicity, religion, sex, disability, age, sexual orientation or another protected characteristic;
  • contain political campaigning, political arguments or unrelated ideological discussion;
  • include advertising, promotional material, referral links or repeated commercial messages;
  • contain spam, automated content or repeated submissions;
  • discuss matters unrelated to the reviewed product or transaction;
  • contain another person’s private or personal information;
  • infringe copyright, trade marks or other intellectual property rights;
  • encourage unlawful, dangerous or fraudulent activity;
  • contain malicious software, harmful links or code;
  • breach any applicable law.

Reviews should focus on the product, its quality, features, performance, suitability and the customer’s genuine purchasing or delivery experience.

Where a review raises a customer service issue, we may contact the reviewer to obtain further information or try to resolve the matter.

We may use automated checks and manual moderation to detect suspicious, unlawful or prohibited review content.

We reserve the right to reject, hide or remove a review where we reasonably believe that it:

  • breaches these review rules;
  • is fake or misleading;
  • does not relate to a genuine experience;
  • contains prohibited or unlawful content;
  • is a duplicate submission;
  • has been posted to manipulate a product rating;
  • creates a security or legal risk.

Where only a small part of a review breaches these rules, we may ask the reviewer to resubmit it without the prohibited content rather than removing the substantive review.

We may suspend or block a customer account from submitting further reviews where the customer repeatedly or seriously breaches these rules, attempts to manipulate ratings, submits fake reviews, harasses others or misuses the review system.

We may report unlawful content, threats, fraud or other serious misconduct to the relevant authorities.

We do not guarantee that every submitted review will be published immediately or remain available permanently.

23. Licence to Use Submitted Reviews

You retain ownership of the original content you submit.

By submitting a review, rating, photograph or other content, you grant UDFTRADE LTD a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, format and publish that content in connection with our website, products, marketing and business activities.

You confirm that:

  • you created the content or have permission to submit it;
  • the content is accurate to the best of your knowledge;
  • our permitted use of it will not infringe another person’s rights.

We may display your first name, initials, general location or another display name submitted with the review, but we will not intentionally publish your private contact details as part of the review.

24. Website Use

You may use our website only for lawful purposes.

You must not:

  • attempt to gain unauthorised access to our website, server, customer accounts or systems;
  • introduce viruses, malicious code or other harmful technology;
  • interfere with the operation, security or availability of the website;
  • use automated systems to scrape, copy or extract website content without permission;
  • place fraudulent orders or misuse payment systems;
  • impersonate another person or provide false information;
  • use the website in a way that infringes another person’s rights;
  • use the website for unlawful, abusive or fraudulent activity.

We may restrict or block access to the website or a customer account where we reasonably believe that these rules have been breached.

25. Intellectual Property

The website and its original content, including our own written product descriptions, category descriptions, articles, guides, page layouts, graphics, database organisation and other original materials, are owned by or licensed to UDFTRADE LTD.

Manufacturer names, logos, product photographs and other manufacturer materials remain the property of their respective owners and are used with permission or under the applicable supplier arrangements.

You may view and print website content for your personal use or for the internal purposes of your business.

You must not, without prior written permission:

  • copy or republish our original descriptions, articles or guides;
  • reproduce substantial parts of our product database;
  • use our branding in a way that suggests an association or endorsement;
  • sell, license or commercially exploit our original website content;
  • remove copyright, trade mark or ownership notices.

26. Third-Party Websites

Our website may contain links to websites operated by manufacturers, payment providers, delivery companies or other third parties.

We are not responsible for the availability, security, content or privacy practices of third-party websites.

A link does not necessarily mean that we endorse all information, products or services provided by that third party.

27. Privacy and Cookies

We collect and use personal information in accordance with our Privacy Policy.

Our website also uses cookies and similar technologies as described in our Privacy Policy and cookie settings.

By submitting a review or other public content, you understand that the information you choose to publish may be visible to other website users.

28. Our Liability to Consumers

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of statutory rights that cannot legally be excluded;
  • any other liability that cannot be excluded under applicable law.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of contract or failure to use reasonable care and skill.

We are not responsible for losses that were not foreseeable when the contract was formed.

We supply products to consumers for private use. If you use a consumer purchase for commercial, business or resale purposes, we are not responsible under the consumer contract for loss of profit, loss of business, loss of revenue or business interruption, except where liability cannot legally be excluded.

29. Our Liability to Business Customers

This section applies where you purchase wholly or mainly for business purposes.

Subject to liabilities that cannot legally be excluded, we will not be liable for:

  • loss of profit, revenue, sales or anticipated savings;
  • loss of business, contracts or commercial opportunities;
  • business interruption;
  • loss or corruption of data;
  • loss of goodwill or reputation;
  • indirect or consequential loss.

Subject to liabilities that cannot legally be limited, our total liability arising from a particular order will not normally exceed the total price paid or payable for the products giving rise to the claim.

Nothing in this section affects any express written warranty or remedy that we have separately agreed with a business customer.

30. Events Outside Our Control

We are not responsible for delay or failure to perform our obligations where caused by circumstances outside our reasonable control.

Such circumstances may include:

  • natural disasters or severe weather;
  • fire, flood or accident;
  • war, civil disorder or terrorism;
  • epidemics, pandemics or government restrictions;
  • industrial action;
  • transport, courier or postal disruption;
  • failure of utilities, telecommunications or internet services;
  • supplier or manufacturer disruption;
  • cyberattacks or major system failures not caused by our negligence.

We will take reasonable steps to reduce the effect of the event and resume performance where possible.

31. Changes to These Terms and Conditions

We may update these Terms and Conditions from time to time to reflect changes in our business, website, delivery methods, payment services or legal obligations.

The Terms and Conditions that apply to an order will normally be those published on our website when the order is placed.

The latest version will be published on this page with an updated revision date.

32. Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

33. Waiver

If we do not immediately enforce a provision of these Terms and Conditions, this does not mean that we have waived our right to enforce it later.

34. Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to the contract does not have the right to enforce these Terms and Conditions.

35. Governing Law and Jurisdiction

These Terms and Conditions and any contract between you and UDFTRADE LTD are governed by the laws of England and Wales.

If you are a consumer living in another part of the United Kingdom, you may also benefit from any mandatory protections available under the law of the part of the United Kingdom in which you live.

Consumers may bring legal proceedings in the courts that have jurisdiction under applicable consumer law.

Business customers agree that the courts of England and Wales will have exclusive jurisdiction over disputes arising from these Terms and Conditions or an order.
